Job Description:
The Candidate should be well versed with corporate laws applicable to a business entity. He should be able to develop a preventive legal management program for domestic & international issues.
He will: -
1- Assess financial / legal implication of commercial documentation with banks & financial institution
2- Conduct Legal reviews of all contracts.
3- Draft MOUs Legal / Business contract agreements.
4- Responsible for operating companies legal & contractual liabilities.
5- Liaise with external counsel for expert opinions as need be.
6- Vetting of contract & safeguard the organization's interest from legal perspective.
7- Negotiate with bankers / FI's during documentation.
8- Risk management for legal issues for various existing & future MOUs contracts, accounts for various facets of business including employment related issues.
9- Advise management on legal pronouncements / developments impacting business with special reference to rulings, given by central, and state level regulatory commissions in India and with similar environment in respective geographies
Experience: 8+ yrs (min 6+ years in corporate)
Qualification: LLB / LLM /CS + MBA-Fin
-Must have excellent command over written and spoken English & be able to negotiate & critically review contracts.
-Expert knowledge of laws, by-laws and rules & regulations governing Indian corporate sector.
-Predominant exposure to contract Laws, Land purchase related agreements / documentations, can draft & verify contracts related to land.
-Knowledge on secretarial matters.
-Should be versed with the legal compliance with corporate entity.
-Knowledge of stamp duty Impact (Pan India).
-Conversant with court judgment pertaining to contract laws.
-Knowledge of financial documentation (loan agreement, hypothecation, mortgage)
